1. Acceptance of Terms
By accessing or using Herm.Chat ("Service", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all visitors, users, and others who access or use the Service.
2. Description of Service
Herm.Chat is an AI agent platform that enables businesses to build, deploy, and manage conversational AI agents on their websites and in Slack. Features include knowledge base management, automated site crawling, multi-LLM support, Slack integration, and agentic actions.
3. Accounts and Registration
You must create an account to use most features of the Service. You agree to provide accurate, current, and complete information during registration and to keep your account credentials secure. You are responsible for all activity that occurs under your account.
You must be at least 18 years old to create an account. By creating an account, you represent that you meet this requirement and have the legal authority to agree to these Terms on behalf of yourself or your organization.
4. Subscriptions and Billing
Herm.Chat offers free and paid subscription plans. Paid plans are billed monthly or annually in advance. All fees are non-refundable except as required by applicable law or as explicitly stated in our refund policy.
- Free Plan: Subject to usage limits as displayed in your dashboard. We reserve the right to modify free plan limits with 30 days notice.
- Paid Plans: Automatically renew unless cancelled before the renewal date. You may cancel at any time; access continues until the end of the current billing period.
- Price Changes: We will notify you at least 30 days before any price increase takes effect.
All payments are processed by Stripe. By providing payment information, you authorize us to charge your payment method for all fees incurred.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe on the intellectual property rights of others
- Transmit spam, malware, or other malicious content
- Engage in deceptive, fraudulent, or misleading practices
- Harass, abuse, or harm any person
- Attempt to gain unauthorized access to any part of the Service or its infrastructure
- Use the Service to build competing products or services
- Reverse engineer, decompile, or disassemble any part of the Service
- Scrape or extract data from the Service beyond normal authorized use
- Exceed usage limits or circumvent rate limiting mechanisms
6. Your Content
You retain all ownership rights to content you upload to the Service, including documents, website content, images, and videos ("Your Content"). By uploading Your Content, you grant us a limited, non-exclusive license to process, store, and transmit it solely for the purpose of providing the Service to you.
You represent and warrant that you have all necessary rights to upload Your Content and that it does not violate any third-party rights or applicable laws. We are not responsible for the accuracy, legality, or appropriateness of Your Content.
7. AI-Generated Content
Our Service uses AI models to generate responses. AI-generated content may be inaccurate, incomplete, or inappropriate. You are solely responsible for reviewing AI-generated content before relying on it and for ensuring your AI agents produce appropriate responses for your users.
We do not warrant the accuracy, reliability, or suitability of any AI-generated content for any particular purpose.
8. Intellectual Property
The Service, including all software, designs, logos, and content created by us, is owned by Herm.Chat and protected by intellectual property laws. Nothing in these Terms transfers any ownership rights in the Service to you.
The Herm.Chat name, logo, and mascot are trademarks of Herm.Chat. You may not use our trademarks without prior written permission.
9. Third-Party Services
The Service integrates with third-party services including LLM providers (OpenAI, Anthropic, Google), Slack, Stripe, and Firebase. Your use of these integrations is subject to the respective third-party terms of service. We are not responsible for the availability, accuracy, or conduct of any third-party service.
10. Service Availability
We strive to maintain 99.9% uptime but do not guarantee uninterrupted availability. We may perform scheduled or emergency maintenance that temporarily affects access. We are not liable for any losses arising from Service downtime or unavailability.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR CONTINUOUSLY AVAILABLE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HERM.CHAT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify, defend, and hold harmless Herm.Chat and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, Your Content, or your violation of these Terms.
14. Termination
You may cancel your account at any time through your account settings or by contacting us. We may suspend or terminate your account immediately if we determine you have violated these Terms, with or without notice.
Upon termination, your right to use the Service ceases immediately. Sections 6, 8, 11, 12, and 13 survive termination.
15. Governing Law
These Terms are governed by the laws of the State of Oklahoma, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved exclusively in the state or federal courts located in Oklahoma.
16. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
